Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClipDivo platform, website, API, and all related services (collectively, the "Service") provided by ClipDivo ("Company", "we", "our", "us").

1. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is higher) to use ClipDivo. By creating an account, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for safeguarding your password, API keys, and other credentials.
• You must notify us immediately at support@clipdivo.com if you become aware of any unauthorized use of your account.
• You are responsible for all activities that occur under your account.
• One individual or entity may not maintain multiple free accounts for the purpose of circumventing usage limits.
• We reserve the right to suspend accounts that are inactive for more than 12 consecutive months.

3. Description of Service

ClipDivo is a video processing platform that provides tools including, but not limited to: logo and watermark overlays, AI-powered subtitle generation, video creation from media assets, background music mixing, video editing with filters and effects, autoposting to social media platforms, and a REST API for programmatic access.

The Service is powered by ClipDivo's proprietary processing engine. All video processing, rendering, and delivery is handled by our systems.

4. Credit System and Billing

4.1 Credits

The Service operates on a credit-based system. One (1) credit equals one (1) minute of processed video output. Partial minutes are rounded up (e.g., a 2:30 video consumes 3 credits).

4.2 Plans and Pricing

Annual billing is available at a 20% discount. Prices are in US Dollars (USD).

4.3 Billing and Payment

• Paid plans are billed in advance on a monthly or annual basis.
• Payment is processed through third-party payment providers (e.g., Stripe, PayPal).
• You authorize us to charge your selected payment method on each billing date.
• Failed payments may result in service interruption after a 7-day grace period.

4.4 Refunds

All fees are non-refundable, except: (a) where required by applicable law, (b) if we materially fail to provide the Service as described, or (c) if you cancel within 14 days of your first paid subscription and have used fewer than 10% of your credits. Refund requests: support@clipdivo.com.

4.5 Credit Expiration

Unused credits expire at the end of each billing cycle and do not roll over. When you exhaust your credits, processing will pause until your next billing cycle or until you upgrade.

4.6 Price Changes

We reserve the right to change our prices. We will provide at least 30 days' advance notice of any price increases via email. Price changes will apply at the start of your next billing cycle following the notice period.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload, process, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload or distribute child sexual abuse material (CSAM) — this results in immediate termination and mandatory reporting to law enforcement (NCMEC)
• Infringe upon any third party's intellectual property rights, including copyrights, trademarks, patents, or trade secrets
• Create, distribute, or facilitate deepfakes intended to deceive, defraud, or defame
• Generate or distribute spam, phishing content, or malware
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or our systems
• Reverse-engineer, decompile, disassemble, or create derivative works of any part of the Service
• Use automated tools (bots, scrapers) to access the Service except through our official API
• Circumvent, disable, or interfere with any security, rate-limiting, or credit-tracking mechanisms
• Resell, sublicense, or redistribute access to the Service without prior written authorization
• Use the Service in any way that violates applicable law in your jurisdiction

6. Content Ownership and Licenses

6.1 Your Content

You retain all ownership rights to content you upload to and create using ClipDivo ("User Content"). By uploading content, you grant ClipDivo a limited, non-exclusive, royalty-free, worldwide license to host, process, store, transmit, and deliver your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.

6.2 Output Content

All processed output files (videos with overlays, subtitles, music, etc.) are yours. ClipDivo claims no ownership rights over your output content.

6.3 ClipDivo Platform

The Service, including all software, design, code, documentation, trademarks, logos, and other intellectual property, is owned by ClipDivo and protected by applicable intellectual property laws. These Terms do not grant you any right to use ClipDivo's trademarks or branding without prior written permission.

6.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, royalty-free license to use, modify, and incorporate such feedback without obligation to you.

7. DMCA and Copyright Policy

ClipDivo respects the intellectual property rights of others. If you believe your copyrighted work has been used on our platform in a way that constitutes infringement, please send a DMCA notice to:

Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material and its location on the Service, (c) your contact information, (d) a statement of good faith belief, (e) a statement of accuracy under penalty of perjury, and (f) your physical or electronic signature.

Repeat infringers will have their accounts terminated.

8. API Terms of Use

• API access is available on all plans (subject to plan-specific rate limits).
• API keys are personal and confidential. You must not share, publish, or embed API keys in client-side code.
• You are responsible for all API calls made with your keys.
• Rate limits are enforced per plan tier. Exceeding rate limits may result in temporary throttling.
• We reserve the right to modify the API with reasonable advance notice (minimum 30 days for breaking changes).
• Abuse of the API (e.g., DDoS, scraping, credential stuffing) will result in immediate key revocation and possible account termination.
• You may not use the API to build a competing service without prior written consent.

9. Autoposting Service

• ClipDivo offers features to automatically publish processed videos to third-party social media platforms ("Autoposting").
• To use Autoposting, you must authorize ClipDivo to access your social media accounts through their respective OAuth flows.
• You are solely responsible for all content published through Autoposting. You must comply with the terms of service, community guidelines, and policies of each destination platform.
• ClipDivo acts as your agent when publishing content on your behalf. We are not responsible for content removal, account restrictions, or penalties imposed by third-party platforms.
• We do not guarantee successful delivery to any platform. Platform API changes may temporarily disrupt Autoposting.
• Rate limits on Autoposting vary by plan (Free: 3/day, Starter: 25/day, Pro: 100/day, Business: unlimited).
• You may revoke ClipDivo's access to your social media accounts at any time through the connected platform's settings.

10. Affiliate Program

• All registered users may participate in the ClipDivo Affiliate Program.
• Affiliates earn a commission (currently 20%) on net payments made by users they refer.
• Referrals are tracked via a unique affiliate link with a 30-day cookie window.
• Commissions are calculated on net revenue (after refunds, chargebacks, and discounts).
• Self-referrals, fraudulent accounts, cookie stuffing, and misleading advertising are prohibited and will result in forfeiture of all commissions and possible account termination.
• Minimum payout threshold: $10.00 USD.
• Payouts are processed within 10 business days of request via PayPal, bank transfer, or cryptocurrency.
• We reserve the right to modify the commission rate with 30 days' notice. Existing unpaid commissions are honored at the rate under which they were earned.
• Affiliates must clearly disclose their affiliate relationship in compliance with FTC guidelines and applicable laws.

11. Service Level and Availability

• We target 99.9% uptime for the ClipDivo platform.
• Scheduled maintenance will be announced at least 24 hours in advance when possible.
• We are not liable for service interruptions caused by: (a) force majeure events, (b) third-party infrastructure failures, (c) your internet connection, or (d) actions taken to protect the security of the Service.
• Business plan users receive an SLA with specific uptime commitments detailed separately.

12. Termination

12.1 Termination by You

You may close your account at any time through account settings or by contacting support@clipdivo.com. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days, except for billing records required by law.

12.2 Termination by Us

We may suspend or terminate your account immediately if: (a) you violate these Terms or our Acceptable Use Policy, (b) your use poses a security risk, (c) required by law, or (d) for prolonged inactivity (12+ months). We will provide notice and an opportunity to export your data when reasonably possible.

12.3 Effect of Termination

Upon termination: all licenses granted to you cease; remaining credits are forfeited (no refund for cause-based termination); your User Content will be deleted within 30 days. Sections that by their nature should survive termination will survive (including Sections 6, 13, 14, 15, 16, and 17).

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLIPDIVO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Failures of Autoposting to deliver content to third-party platforms

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CLIPDIVO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

15. Indemnification

You agree to indemnify, defend, and hold harmless ClipDivo and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights, or (d) content you upload, process, or publish through the Service.

16. Dispute Resolution

16.1 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at support@clipdivo.com and attempt to resolve the dispute informally within 30 days.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hellenic Republic (Greece) and the European Union, without regard to conflict of law principles.

16.3 Jurisdiction

Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Thessaloniki, Greece, unless otherwise required by mandatory consumer protection laws in your jurisdiction.

16.4 EU Consumer Rights

If you are an EU consumer, you are entitled to the mandatory consumer protection provisions of the laws of the EU Member State in which you reside. Nothing in these Terms affects your statutory rights as a consumer. You may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClipDivo regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of future enforcement.
• Assignment: You may not assign or transfer your account or these Terms. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for delays or failures resulting from events beyond our reasonable control.
• Notices: We may provide notices via email to the address associated with your account, or by prominent posting on the Service.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email and/or prominent notice on the Service. Your continued use after the effective date constitutes acceptance. If you disagree with the changes, you must stop using the Service and close your account before the changes take effect.
